Valuation in accordance with Russian corporate legislation
In cases when in accordance with Federal Law «About joint stock companies» value of property as well as offering price and repurchase price of company’s emissive securities are determined by decision of company’s Board of directors (supervisory board) these prices should be determined on basis of their market value.
Independent appraiser could be involved in estimation of property’s market value. Involvement of independent appraiser for market value estimation is mandatory for estimation of repurchase price of shareholders’ stock in accordance with article 76 «Procedure of exercise of right to demand the redemption of shareholders’ stock by the company» of Federal Law «About joint stock companies» as well as in other cases explicitly provided by this law.

Valuation for the purposes of redemption of stock in accordance with Chapter XI.1 «Acquisition of more than 30% of public joint-stock company’s stock» of Federal Law «About joint stock companies».
In accordance with Federal Law «About joint stock companies»:
- During realization of mandatory offer for redemption of stock by a person who acquired more than 30% of public joint-stock company’s stock preparation procedures;
- During redemption of stock by a person who acquired more than 95% of public joint-stock company’s stock.
In the event that stock isn’t listed at a stock exchange valuation of stock’s market price by an independent appraiser is mandatory.
